3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON
4 BEACH, FLORIDA, APPROVING AND RATIFYING THE PURCHASE OF
5 BENEFITS SOFTWARE SUBSCRIPTION FROM
6 GOVERNMENTJOBS.COM, INC.; APPROVING INCREASING PURCHASE
7 ORDER NO. 240517 WITH GOVERNMENTJOBS.COM, INC., TO A NEW
8 TOTAL PURCHASE ORDER AMOUNT NOT TO EXCEED $200,000, FOR
9 HUMAN RESOURCES SOFTWARE SUBSCRIPTION; AND FOR ALL
10 OTHER PURPOSES.

12 WHEREAS, on June 19, 2012, the City Commission approved Resolution No. R12-051
13 approving the Service Agreement between the City and GovernmentJobs.com,Inc., d/b/a NeoGov
14 ("Vendor"), for applicant tracking software; and
15 WHEREAS, the Human Resources department desires to purchase a Benefits Software
16 Subscription from the Vendor for an amount of $39,271.20; and
17 WHEREAS, the Human Resources department desires to increase purchase order No.
18 240517 annual expenditure amount to an amount not to exceed $200,000 to provide the
19 necessary funds to process pending invoices and sufficient funds to cover expenses in the future;
20 and
21 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the
22 best interests of the city's citizens and residents to approve and ratify the purchase of Benefits
23 Software Subscription from Governmentjobs.com, Inc. for an amount of $39,271.20, and approve
24 increasing purchase order No. 240517 with Governmentjobs.com, Inc., to a new total purchase
25 order amount not to exceed $200,000, for a human resources software subscription.

27 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
28 BEACH, FLORIDA, THAT:
29 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
30 being true and correct and are hereby made a specific part of this Resolution upon adoption.
31 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby
32 approve and ratify the purchase of Benefits Software Subscription from Governmentjobs.com,Inc.,
33 for an amount of $39,271.20, as shown in the Order From attached hereto as Exhibit A and
34 approve increasing purchase order No. 240517 with Governmentjobs.com, Inc., to a new total
35 purchase order amount not to exceed $200,000, for a human resources software subscription.
36 SECTION 3. The City Commission of the City of Boynton Beach, Florida, does hereby
37 ratify the execution of the Order Form by the City Manager.
38 SECTION 4. This Resolution shall take effect in accordance with law.

Payment Terms: All invoices issued hereunder are due upon the invoice due date.If the Order is for a period longer than one year,the fees for
the first period shown shall be invoiced immediately and the fees for future years/periods shall be invoiced annually in advance of each 12 month
period shown on the Order,but regardless of the billing cycle,Customer is responsible for the fees for the entire Order.The fees set forth in this
Service Order are exclusive of all applicable taxes,levies,or duties imposed by taxing authorities and Customer shall be responsible for payment of
any such applicable taxes,levies,or duties.All payment obligations are non-cancellable,and all fees paid are non-refundable.Payment for services
ordered hereunder shall be made to Govemmentjobs.com,Inc., (D/B/A NEOGOV).
Terms&Conditions: This Order Form creates a legally binding contract on the parties. Unless otherwise agreed in a written agreement
between GovernmentJobs.com,Inc.(D/B/A/NEOGOV),parent company of PowerDMS,Inc.,Cuehit,Inc.,Ragnasoft LLC(D/B/A/PIanIT Schedule),
and Design PD,LLC(D/B/A Agency360)(collectively,`NEOGOV')and Customer,this Order Form and the services to be furnished pursuant to
