R24-293 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON 4 BEACH, FLORIDA, APPROVING AMENDMENT NO. 1 TO TASK ORDER 5 UT-1A-03 WITH CAROLLO ENGINEERING, INC., IN THE AMOUNT OF 6 $80,907, FOR A NEW TOTAL TASK ORDER AMOUNT OF $458,233 FOR 7 PROFESSIONAL ENGINEERING SERVICES REQUIRED FOR THE DESIGN 8 AND PERMITTING OF STRUCTURAL, FILTRATION, AND DISINFECTION 9 IMPROVEMENTS AT THE EAST WATER TREATMENT PLANT; AND FOR 10 ALL OTHER PURPOSES. 11 12 WHEREAS, on August 22, 2018, the City and Carollo Engineers, Inc. ("Consultant") entered 13 into an Agreement for General Consulting Services ("Agreement"), which authorized the City to 14 issue task orders for projects on an as-needed basis; and 15 WHEREAS, on November 14, 2022, the City Commission approved Task Order UT-1A-03 16 (the "Task Order") for the engineering services for structural, filtration, and disinfection 17 improvements at the East Water Treatment Plant (the "Project"); and 18 WHEREAS, the Parties desire to execute a First Amendment to the Task Order so the 19 Consultant can provide additional services regarding the Project to address design and project 20 changes identified by the Department of Health that are necessary for improved operations or 21 permitting approval; and 22 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the 23 best interests of the city's citizens and residents to approve Amendment No. 1 to Task Order UT- 24 1A-03 with Carollo Engineering, Inc. in the amount of $80,907.00 for a new total Task Order 25 amount of $458,233.00 for professional engineering services required for the design and 26 permitting of structural, filtration, and disinfection improvements at the East Water Treatment 27 Plant. 2 ) NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON 30 BEACH, FLORIDA, THAT: 31 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as 32 being true and correct and are hereby made a specific part of this Resolution upon adoption. 33 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby 34 approve a First Amendment to Task Order No. UT-1A-03 between Carollo Engineers, Inc. and the 35 City for structural, filtration, and disinfection improvements at the East Water Treatment Plant in 36 the amount of $80,907 (the "Task Order Amendment"), in form and substance similar to that 37 attached as "Exhibit A." 38 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby 39 authorizes the Mayor to execute the Task Order Amendment. The Mayor is further authorized to 40 execute any ancillary documents necessary to accomplish the purposes of this Resolution. 41 SECTION 4. The City Clerk shall retain the fully executed Task Order Amendment as a 42 public record of the City. A copy of the fully executed Task Order Amendment shall be provided 43 to Keith Webber to forward to the Consultant. 44 SECTION 5. FOR STRUCTURAL, FILTRATION, AND DISINFECTION IMPROVEMENTS AT THE EAST WATER TREATMENT PLANT This First Amendment ("First Amendment") is between the City of Boynton Beach, a municipal corporation organized and existing under the laws of Florida,with a business address of 100 East Ocean Avenue, Boynton Beach, FL 33435 ("City"), and Carollo Engineers, Inc., a Delaware corporation authorized to do business in the State of Florida, with its principal place of business at 2795 Mitchell Drive, Walnut Creek, CA 94598 ("Consultant") (each a "Party, and collectively referred to as the "Parties"). RECITALS A. On August 22, 2018, the City and Consultant entered into an Agreement for General Consulting Services ("Agreement"), which authorized the City to issue task orders for projects on an as-needed basis. B. On November 14, 2022, the City Commission approved Task Order UT-1A-03 (the "Task Order")for the engineering services for structural, filtration, and disinfection improvements at the East Water Treatment Plant (the "Project"). C. The Parties desire to execute a First Amendment to the Task Order so the Consultant can provide additional services regarding the Project to address design and project changes identified by the Department of Health that are necessary for improved operations or permitting approval. Now, therefore, for good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: 1. The above Recitals are true and correct and are incorporated herein by reference. All capitalized terms not expressly defined within this First Amendment shall retain the meaning ascribed to such terms in the Agreement. 2. Except as modified herein,all remaining terms and conditions of the Agreement shall remain in full force and effect. First Amendment to Carollo Task Order for East WTP SRW (10.24.24) Page 1 of 8 3. Additional Services. The Scope of Services of the Task Order is hereby amended to provide additional design and permitting services necessary to address issues identified by the Department of Health, as further detailed in Exhibit A, attached hereto. 4. Fee.The fee for the additional services described above in Section 3 shall be Eighty Thousand Nine Hundred Seven Dollars ($80,907.00) with the fee breakdown per task described in Exhibit B, attached hereto. The total Fee to be paid to Consultant under this Task Order is amended to Four Hundred Fifty-Eight Thousand Two Hundred Thirty-Three Dollars ($458,233.00). 5. Schedule. The Parties acknowledge Project is currently nearing 100% design completion. Consultant will incorporate the scopes changes described in Exhibit A into the design, continue with preparation of the permit application, and prepare bid ready documents within 45 days after full execution of this First Amendment. 6. Agreement Reference. This First Amendment shall be performed under the terms and conditions described within the Agreement. 7. Continuation of Task Order Services beyond Expiration of Agreement. The Parties acknowledge that the Agreement expired; however, the Task Order work remains incomplete. Accordingly,the Parties agree the work is permitted to continue beyond the term of the Agreement. Consultant shall complete the Task Order without regard to whether such completion would cause services to be performed after the expiration date of the Agreement. The Task Order may be amended after the Agreement expiration date, provided that any additional services, time, and compensation are permitted under the Agreement. The terms and conditions of the Agreement shall continue to govern this Task Order notwithstanding the expiration of this Agreement. 8. In the event of any conflict or ambiguity between this First Amendment,the Task Order, and the Agreement,the Parties agree that this First Amendment shall control.The Agreement, and Task Order, as amended herein by this First Amendment, incorporates and includes all prior negotiations, correspondence, conversations, agreements, and understandings applicable to the matters contained herein, and the Parties agree that there are no commitments, agreements, or understandings concerning the subject matter hereof that are not contained in the Agreement, and Task Order, as amended in this First Amendment. Accordingly, the Parties agree that no deviation from the terms hereof shall be predicated upon any prior representations or agreements, whether oral or written. 9. Preparation of this First Amendment has been a joint effort of the Parties and the resulting document shall not, solely as a matter of judicial construction, be construed more severely against one of the Parties than any other. 10. Consultant acknowledges that through the date this First Amendment is executed by Consultant, Consultant has no claims or disputes against City with respect to any of the matters covered by the Agreement. This First Amendment may be executed in counterparts, whether signed physically or electronically, each of which shall be deemed to be an original, but all of which, taken together, shall constitute one and the same amendment. Replacement of all existing hypochlorite pumps - The existing pumps are oversized and have exceeded their recommended useful life. 2. Upgrade existing sodium hypochlorite system for feed concentration changes from 0.8% to 12% -The existing system currently dilutes bulk deliveries of sodium hypochlorite to 0.8%concentration and is difficult to operate and maintain. Upgrading the system to use a 12% solution allows for installation of smaller, more efficient packaged chemical feed skids. In addition, new skids will facilitate construction phasing and minimize impacts to plant operations during construction. 3. Automation filter control strategies—The existing filters are currently operated manually and are difficult to monitor and optimize. As part of the four-log upgrades, filter operations will be automated and controlled by online instrumentation to ensure more efficient and reliable operations. 4. Replacement of all existing filter effluent turbidity analyzers — The existing filter turbidity analyzers have exceeded their useful life and are not reliable. Replacing analyzers for each filter will allow for better monitoring and troubleshooting of filter operations. 5. Validation of four-log virus inactivation at West WTP and incorporation into East WTP permit application—The Department of Health has indicated that a four-log approval for the East WTP will require a system wide approval for both the West and East WTPs. Preliminary evaluations of the existing facilities and operations indicate that the West WTP can readily obtain four-log credit with minimal modifications.This task is for validation of the four-log treatment process at the West WTP, development of summary narrative, and incorporation of the West WTP into the pending 4-log permit application for the East WTP. Specifically, Carollo will evaluate free chlorine application in the West WTP clearwell as a means to achieve 2 log virus inactivation. When added to the 2-log removal credit in the nanofiltration system, the West WTP can achieve credit for 4-log virus disinfection under the Groundwater Rule. Following the evaluation of the strategy to achieve 4-log virus disinfection at the West WTP, Carollo will prepare a technical memorandum to document the findings. The technical memorandum will serve as the Basis of Design for 4-log Virus Disinfection at the West WTP. The memorandum will document the following: 1. Design criteria: a. Maximum flow b. Minimum temperature c. Contact time in clearwell d. Baffling factor in clearwell First Amendment to Carollo Task Order for East WTP SRW (10.24.24) Page 5 of 8 e. Minimum water level in clearwell f. Free chlorine minimum residual g. Free chlorine addition point 2. A schematic identifying the following: a. Chlorine addition location b. Chlorine residual analyzer location c. Ammonia application point 3. An elevation of the clearwell indicating the geometry of the basin, influent diameter and location, effluent diameter and location, and maximum and minimum water levels. 4. An overview of the proposed disinfection sequence. First Amendment to Carollo Task Order for East WTP SRW (10.24.24) Page 6 of 8 EXHIBIT B FEES The total fee for the Additional Services authorized by this First Amendment is $80,907 and will allow the additional scope to be developed and incorporated into the 100%Design documents prior to the final review workshop and permitting approval. The total compensation shown in the table below is based on the hourly rates established in Exhibit A to the General Utilities Engineering Master Agreement. A detailed fee breakdown is attached.
