3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON
4 BEACH, FLORIDA, APPROVING ADDITIONAL PURCHASES AND
5 INSTALLATION OF AVIGILON SECURITY CAMERAS AT SARA SIMS
6 PARK AND FIRE STATION NO. 3 AND INCREASE THE ANNUAL
7 EXPENDITURE UNDER THE AGREEMENT FOR INFORMATION
8 TECHNOLOGY-RELATED SERVICES WITH BROADCAST SYSTEMS, INC.
9 TO AN AMOUNT NOT TO EXCEED $750,000; AND FOR ALL OTHER
10 PURPOSES.

12 WHEREAS, on February 7, 2023, pursuant to Resolution No. 23-016, the City Commission
13 approved the piggyback of GSA Contract No. 07F-173GA and entered into an Agreement for
14 Information Technology Related Services with Broadcast Systems, Inc. ("Contractor") for the
15 purchase of IT support services for Citywide cameras, access control, Real Time Crime Center
16 technology and Fire Station 2, 3, 4, and 5, in an amount not to exceed $211,635; and
17 WHEREAS, on December 5, 2023, the City Commission approved the execution of
18 Maintenance Agreement No. 00309 based on GSA Contract No. GS-07F-173GA with Broadcast
19 Systems (ER Tech Systems Group, Inc.) to purchase additional services, support, and maintenance
20 for Citywide cameras, access control, and Real Time Crime Center technology on an as-needed
21 basis from Broadcast Systems for an estimated amount not to exceed $148,000; and
22 WHEREAS, on May 1, 2024, the City Commission approved Resolution No. R24-117
23 approving the additional purchase and installation of Avigilon security cameras for the Hester
24 Park Project and increasing the annual fee paid to Broadcast Systems pursuant to the City's
25 piggyback of GSA Contract No. 07F-173GA to a total amount not to exceed $500,000 per year for
26 all services provided by Broadcast Systems, Inc. pursuant to the piggyback agreement; and
27 WHEREAS, Broadcast Systems, Inc. is utilized by the Police and ITS departments for
28 support and maintenance services. The Police Department estimates its annual expenditures
29 under the contract to be $530,000, and the ITS department estimates its annual expenditures to
30 be $50,000. The City would like to increase the annual expenditure for the purchase and
31 installation of Avigilon security cameras as a CIP project for Hester Park. The security cameras will
32 integrate into the citywide Avigilon security camera, and authorized city personnel will be able to
33 monitor the security cameras for a total of $165,000; and
34 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the
35 best interests of the City's citizens and residents to approve additional purchases and installation
36 of Avigilon Security Cameras at Sara Sims Park and Fire Station No. 3 and increase the annual
37 expenditure under the Agreement for Information Technology Related Services with Broadcast
38 Systems, Inc. to an amount not to exceed $750,000.

40 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON
41 BEACH, FLORIDA, THAT:
42 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as
43 being true and correct and are hereby made a specific part of this Resolution upon adoption.
44 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby
45 approve additional purchases and installation of Avigilon Security Cameras at Sara Sims Park and
46 Fire Station No. 3 and increase the annual expenditure under the Agreement for Information
47 Technology Related Services with Broadcast Systems, Inc. to an amount not to exceed $750,000.
48 SECTION 3. The City Commission of the City of Boynton Beach, Florida, does hereby
49 approve the Maintenance Agreement and Addendum to the Maintenance Agreement between
50 Broadcast Systems, Inc., and the City for the purchases and installation of Avigilon Security
51 Cameras at Sara Sims Park and Fire Station No. 3 (the "Agreement"), in form and substance similar
52 to that attached as Exhibit A.
53 SECTION 4. The City Commission of the City of Boynton Beach, Florida, hereby
54 authorizes the Mayor to execute the Agreement. The Mayor is further authorized to execute any
55 ancillary documents required under the Agreement or necessary to accomplish the purposes of
56 the Agreement and this Resolution.
57 SECTION 5. The City Clerk shall retain the fully executed Agreement as a public record
58 of the City. A copy of the fully executed Agreement shall be provided to Karl Maracotta to forward
59 to the Contractor.
60 SECTION 6. This Resolution shall take effect in accordance with law.

Maintenance Agreement No.2024/2025-00015
This Maintenance Agreement (the "Agreement"), effective as o f xn►1zf4a "("t he "E f f e c t iv e
Date"), is made by and between Broadcast Systems, Inc. ("Broadcast Systems,""BS,"or"we") and
CrtyofBoynton Beach,(herein referred to as"Client").
Term: The Agreement shall commence on the Effective Date and will continue for a period of twelve(12)months(the
"Initial Terre',with the option to renew for additional 1(One) periods at newly mutually negotiated
rates(each,a "Renewal Term";the Initial Term,together with all Renewal Terms, if any,shall be collectively referred
to herein as the"Term").
Compensation: In consideration of the provision of Services (as defined below), Client
agrees to pay Broadcast Systems a fee in the total amount of$ 165,000.00, paid progressively as invoiced against for
the FY2024/2025 contract term. Broadcast Systems shall bill during the Term to fulfill the contract in accordance with
the Billing Table provided below.Broadcast Systems shall maintain a record detailing all hours worked in performance
of the Services and will provide same to Client upon request. Broadcast Systems shall obtain Client's prior written
consent to provide Services beyond those agreed herein before performing same.
Covered Services: Camera support, camera infrastructure, camera hardware, access control support, access control
infrastructure, access control hardware, audio video support, audio video infrastructure, audio video hardware,
security support,security infrastructure,security hardware, radio/area of duress related systems support, radio/area
of duress infrastructure,radio/area of duress hardware,IT support,IT infrastructure,IT hardware,911 center support,
911 center infrastructure, 911 hardware, EOC support, EOC infrastructure, EOC hardware, RTCC support, RTCC
infrastructure, RTCC hardware, Fiber optical systems support, Fiber optical systems infrastructure, fiber optical
systems hardware, alarm systems support, alarm systems infrastructure, alarm system hardware, LPR systems
support,LPR infrastructure,LPR hardware,wireless support,wireless infrastructure,wireless hardware,door systems
support, door systems infrastructure, door system hardware, video and audio transmitting systems support, video

Maintenance Agreement Details
Services.Commencing on the Effective Date,Broadcast Systems will provide the following Services(as defined below)to Client:
• Basic Service: Basic Service is the routine labor required to troubleshoot low voltage equipment/systems (cameras,
cabling,etc.)during normal business hours,i.e. Monday through Friday between 9AM and 5PM.The service includes
remote troubleshooting and programming as well as technical telephone support. The Client is responsible for
allowing Broadcast Systems access to its systems via secure Virtual Private Network(VPN)or equivalent connection.
• Technical Telephone Support: Broadcast Systems provides telephone support during normal business hours to
address simple technical questions/issues. Telephone support is handled in a routine manner. The intent of this
service is to provide timely answers to simple technical questions regarding system operations.
• All support tickets must be generated through the Broadcast Systems help desk. All tickets will be emailed to
admin@broadcastsystemsinc.com . Broadcast Systems will generate a ticket number and all parties will be able to
track the support ticket throughout the event until resolution of service request. An additional copy of the support
ticket will be forwarded to Client.
• Priority Handling of Service Requests: Broadcast Systems will respond rapidly to routine service calls on a priority
basis. Calls received prior to 8:00AM EST/EDT on normal business days are responded to during the same day. The
initial response may be via telephone or remote programming (if applicable). Calls received after 8:00AM EST/EDT
are handled with priority status and responded to no later than close of business on the following business day.
• Emergency Response Service: This service is provided in conjunction with the Basic Service and includes service
requests that require immediate response to a mission critical system failure. Emergency Response Service (ERS) is
provided twelve (12) hours a day, five (5) days per week, not including holidays. Upon receipt of an authorized
Emergency Service request,a Broadcast Systems engineer or technician will respond within a maximum of(8) hours.
He/she will initially perform remote diagnostics via telephone or other remote connection (if applicable) and will
either resolve the problem or downgrade the emergency to a routine service call. If the emergency is downgraded to
a routine service call,the service call will be completed during regular business hours. If the emergency persists and
an on-site response is required, Broadcast Systems will have an engineer/technician or approved subcontractor on-
site within the following (12) hours. The work effort will be continuous until the response requirement is satisfied,
and/or as directed by the Client.
• Battery Tracking Program:This option includes tracking the age of batteries used in the system. Broadcast Systems
will advise the Client when certain batteries should be replaced. If a complete list of batteries is not currently
available,or they were provided (i.e. installed) by others,an inventory of batteries will be completed during the first
year of the Agreement.The cost of battery replacement is charged separately to Client.
• Parts and Equipment Purchase/Discount: Certain equipment and/or material (collectively, the "Materials") that
Client determines needs to be replaced, that are not covered by manufacturer warranty, may be purchased from
Broadcast Systems at the following rates, subject to availability: all shop materials sold at cost + 10% (I.E. Home
Depot, Lowes, Electrical Supply,Amazon); all Avigilon materials will be sold at 10%off retail price during the Term.
The purchase of any Materials, including material terms regarding same, can be provided under a separate
agreement between the parties.Client acknowledges that due to market fluctuations,the Material costs quoted at
the time of proposal by Broadcast Systems may significantly change by the time such Materials are ordered. As
such,Client recognizes that time is of the essence in reviewing any such proposals.

• GSA Contracts: As applicable, ER Tech Systems Group d/b/a Broadcast Systems shall allow
governmental entities and agencies within The 50 united states to purchase, under
the same terms and conditions hereunder,the Materials provided for in this Agreement or any related
Project(as defined below).
• System Documentation Maintenance:Broadcast Systems will maintain all relevantsystem documentation to support
the system, including changes. Documentation and system information will be available to Client.
• Fieldwork: Actual fieldwork for emergency or routine repairs will be performed by field engineers or
technicians. If the engineer/ technician determines the reason for service needed is not due to the work
performed by Broadcast Systems or its equipment,then we will invoice Client for hourly emergency service.
As used herein the"Services" shall refer to the forgoing services undertaken by Broadcast Systems.
Please note, regarding the Services:
• Excludes"Out-of-Warranty"hardware replacement or damages resulting from third-partyabuse.
• Requires secure access to the network by Broadcast Systems Inc.
• Broadcast Systems not liable for the replacement of any equipment destroyed by severe weather or third-
party abuse.
EXCLUSIONS&CLARIFICATIONS
1. Broadcast Systems has a clear understanding of the systems in place. As a result, certain assumptions have been
made. Should a change to the system functionality and/or hardware/software be required, Broadcast Systems will
respond by issuing a proposed addendum (or revision) to this Agreement or a separate agreement between the parties
describing the impact on the schedule and to the cost for the system.Work related to any such changes will not begin until
respective changes are mutually agreed to in writing.
2. Client will provide:
a. Appropriate and sufficient power (electrical service) to all locations and devices including the head
end control center
b. Sufficient space for the head end and rack space for housing of all equipment.
c. Space for command-and-control equipment
d. Appropriate HVAC environmental controls for the MDF and IDF's
e. DSL, Ti, or other high-speed line to provide access to the internet, and for remote access by
Broadcast Systems
f. Base blueprints as Broadcast Systems will start documenting IP's and systems from an initial
audit performed by Broadcast Systems'staff.
g. Appropriate Ethernet connectivity as specified by Broadcast Systems for interconnect into the Client
LAN/WAN for remote viewing (via VPN or equivalent) of real time and archived video and
troubleshooting or maintenance of the provided equipment.
h. Clearing of trees, vegetation, or any other obstacle that may block camera views and inhibit video
surveillance
i. Utility poles
j. Appropriate and sufficient lighting
k. Sufficient space for mounting and installing all Broadcast Systems provided equipment

3. Broadcast Systems is not responsible for electrical or mechanical adjustments, changes or replacements to any
existing equipment except as noted in this Agreement. All major equipment additions, if any, will be billed as a project
("Project") and signed off on by the Client before commencement. Any such Project, including material terms regarding
same,can be provided under a separate agreement between the parties.
4. The design of any Project, and the type and quantity of equipment,are contingent on the completion of a final site
survey/field audit.
5. We provide automation products and integration services to deliver a complete remote surveillance monitoring
system.As a provider of control equipment and engineering services related to the equipment,Broadcast Systems' scope
of responsibility as defined herein, is limited to the individual controls and system supplied by Broadcast Systems or BS
subcontractors only.
6. Client will designate a representative with respect to this Agreement and any Project. This representative should
have a working knowledge of the Agreement and/or Project location,and circumstances associated with this Agreement
and/or Project.
7. Any information regarding Client's operations, business, personal, or clients will be kept in strict confidence. The
prices included herein by Broadcast Systems a re provided for this Agreement only.
8. The terms and conditions set forth in this Agreement contain no monetary allowance for product liability or provisions
for consequential damages, coverage, indemnification, or warranties, other than those set forth elsewhere in this
Agreement. Any additional assurances, indemnifications, or insurance coverage, if desired, will be subject to mutually
agreeable terms, and pricing.
9. With the exception of gross negligence or willful misconduct, neither party assumes any liability except as expressly
provided in this Agreement.Subject to the extent allowable by law, in no event shall either party be liable, whether
in contract,tort, or otherwise, for special, indirect, incidental, or consequential damages caused in connection with
this Agreement or any Project. Subject to the extent allowable by law, in no event shall Broadcast Systems' total
liability to Client hereunder exceed the sum paid to Broadcast Systems by Client, exclusive of any sums paid and/or
owing directly to any subcontractor.
10. Performance and/or payment bonds are not included in this Agreement.
11. All prices provided herein are exclusive of U.S.federal,state,and local taxes.
12. All supplied documentation will be written in U.S. English; translation into other languages is available at an extra
charge that will be provided upon request.
13. Operating manuals, documentation, and drawings will be provided in electronic format. Pricing for the
production of hard copies of this documentation will be provided upon request.
14. In the event of additional work beyond the scope described herein, costs shall be assessed as follows: An estimate
and written scope of work will be provided to the Client. No work will be performed until the scope of work and
estimate is signed off on by the Client and terms are mutually agreed upon between the parties.

Billing Table:
A. Routine Service—Labor:
Routine Labor Rate applies to service work and Technical Telephone Support provided during normal
business hours(Monday through Friday between the hours of 8:00AM and 5:00PM EST/EDT).
Routine Service Labor Rate per Hour is charged in accordance with standard rates

service charge time will apply.

B. Emergency Response Services—(ERS)—Labor:
Emergency Response Service Labor Rate applies to work that client has specifically requested on an
emergency basis. ERS is provided with a response time of 7 hours(exceptions may apply,subject to type
and location of the emergency).
Emergency Response work during normal business hours(Monday through Friday
between hours of 8:00AM and 6:00PM EST/EDT)
Labor rate per hour is charged in accordance with standard rates in the class per
technician.
ii. Emergency Response work after normal business hours and Saturday 1.5 x
(Monday through Friday,6:00PM—11:00PM EST;Saturday,8:00AM—2:00PM) Hourly
Rate
Emergency Response work during all other hours including Weekends and Holidays
iii. Holidays:New Year's Day,Good Friday,Memorial Day,Independence Day,Labor Day, 2x Hourly
Thanksgiving Day and day after,Christmas Day Rate

TERMS AND CONDITIONS
1. Payment Terms:
Payment is due 30 days from invoice date. Broadcast can at the company's discretion charge interest in accordance with
Florida law for invoices past due the NET30 day credit terms
2. No modification,alteration,or amendment to this Agreement shall be effective unless in a written change order signed
by Client representative and acknowledged by Broadcast Systems.
3. Release of Liability: Client hereby agrees to defend, indemnify and hold Broadcast Systems and its agents, employees,
officers and consultants harmless from any and all liability, claim, indebtedness, loss or cost (including reasonable
attorney's fees) arising out of,or relating to,this Agreement, provided, however,Client has no obligation to indemnify
Broadcast Systems for liability,claim, indebtedness, loss or cost,etc., arising from Broadcast Systems'gross negligence
or willful misconduct.
4. Standard Warranty: Unless otherwise stated in writing, Broadcast Systems' standard warranty solely covers services
provided by Broadcast Systems under this Agreement as follows:
i. Duration: The Standard Warranty for services provided commences the day a Project is completed and
continues in effect for ninety(90)days thereafter.Warranty for hardware shall extend to the lesser of twelve
(12) months from the date of completion of any such Project or for the duration of the manufacturers'
warranty. Broadcast Systems shall forward and/or transfer any and all manufacturers' warranties to the
Client. Client shall register the acquired products as appropriate to gain entitlement to the warranties
provided by the manufacturers. For the avoidance of doubt, Client is solely responsible for appropriately
registering any such products.
jj. Exclusions:The following exclusions apply:
a. Third Party Software: The Standard Warranty does not cover third party software. Client shall rely
exclusively on the warranties provided by such third parties.
b. Third Party Hardware: The Standard Warranty does not cover Third Party Hardware. Client shall rely
exclusively on the warranties provided by such third parties.
c. Modifications: Any changes or modifications to the code or software applications (as delivered by
Broadcast Systems and as determined by the code version stored by Broadcast Systems as the latest
version) by Client will void all warranties.
d. Any leftover hours expire at the end of this Agreement if not used.

5. Choice of Law/Venue:The terms and conditions of this Agreement shall be construed and interpreted under the laws of the
State of Florida. The parties hereto agree that in any action arising from, in connection with, or related to this Agreement,
venue shall lie solely and exclusively in Broward County, Florida.Each party hereby waives any right to a jury trial in any action
arising from, related to,or concerning this Agreement.
6. Suspension: Broadcast Systems shall have the right to suspend the Services provided in this Agreement upon ten(10)days'
notice, if Client fails to make payment of an overdue invoice within the notice period, the remaining balance for any
Materials shall become immediately due and payable. Broadcast Systems may continue to suspend the Services until such
amounts are paid.
7. Effect of Termination:The expiration or termination of this Agreement,for any reason,shall not release either party from
any obligation or liability to the other party, including any payment and delivery obligation, that has already accrued
hereunder, comes into effect due to the expiration or termination of the Agreement, or otherwise survives the expiration
or termination of this Agreement.
8. Representations And Warranties:_Each party represents,warrants,and covenants that: (i) it is duly organized and in good
standing;(ii)it has the full power,right,and authority to enter into this Agreement and to fully perform all of its obligations
hereunder; and (iii) all necessary licenses and permits shall be in place and fully complied with throughout the duration of
this Agreement.
9. Force Majeure: Neither party shall be responsible for any delay or failure in delivery or performance of any of its duties
hereunder due to acts of God, acts or omissions or any other occurrence commonly known as force majeure, including
war,riots,acts of terrorism,embargoes,strikes,or other concerted acts of workers,casualties or accidents,or any other
causes or circumstances that prevent or hinder the performance of the Services or the manufacture or delivery of the
Materials. Such party may cancel or delay performance hereunder for so long as such performance is delayed by such
occurrence and in such event the party shall have no liability to the other party.
10. Nature of Relationship: Nothing in this Agreement shall be construed to create an agency, franchise, partnership, joint
venture, or employee/employer relationship between the parties. Broadcast Systems and Client are each independent
contractors under this Agreement. Neither party has any express or implied right or authority to assume or create any
obligations on behalf of or in the name of the other party or to bind the other party to any contract, agreement or
undertaking with any third party.
1 I. Assignment and Delegation:Neither party may assign any rights or obligations under this Agreement without the advanced
written consent of other party.
12. Severability:If any term or provision of this Agreement is invalid,illegal,or unenforceable in any jurisdiction,such invalidity,
illegality, or unenforceability does not affect any other term or provision of this Agreement or invalidate or render
unenforceable such term or provision in any other jurisdiction.
13. Waiver: No waiver by any party of any of the provisions hereof is effective unless explicitly set forth in writing and signed
by the party so waiving. No waiver by any party operates as a waiver in respect of any failure, breach, or default not
expressly identified by such written waiver, whether of a similar or different character, and whether occurring before or
after that waiver. No failure to exercise,or delay in exercising,any right, remedy, power, or privilege arising from this

agreement operates as a waiver thereof. No single or partial exercise of any right, remedy, power,or privilege
hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
14. Entire Agreement:This Agreement constitutes the sole and entire agreement of the parties concerning the subject matter
contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and
warranties, both written and oral,concerning such subject matter.
15. Counterparts:This Agreement may be executed in counterparts;each of which will be deemed to be an original, but all of
which together will be deemed to be one and the same instrument.This Agreement may also be executed by exchange of
facsimile copies or photocopies, or electronic files in PDF via electronic mail between the parties.

ADDENDUM TO MAINTENANCE AGREEMENT NO. 2024/2025-00015 WITH
BROADCAST SYSTEMS, INC.
The terms of this Addendum shall govern and control the terms and conditions of the Maintenance
Agreement (the "Agreement") between the City of Boynton Beach, a Florida municipal corporation
("City"), and Broadcast Systems, Inc. ("Contractor") executed simultaneously herewith. The City and
Contractor are each individually referred to as a "Party" and collectively referred to as the "Parties."
RECITALS
A. The City's Police Department utilizes Contractor's products and services for camera,
access control, audio video, security, radio, and other IT support, infrastructure, and hardware services
(the "Services"), as more particularly described in Agreement to which this Addendum is attached.
B. The Parties desire to modify the Agreement to recognize that the City is a governmental
entity and to incorporate and supplement the requirements set forth in the Agreement to comply with
Florida law.
Now, therefore, in consideration of the mutual terms and conditions, promises, covenants, and
payments hereinafter set forth,the Parties agree as follows:
1. Recitals. The above Recitals are true and correct and are incorporated herein by reference. All
capitalized terms not expressly defined within this Addendum shall retain the meaning ascribed to such
terms in the Agreement.
2. Effect of Addendum. Except as modified herein, all remaining terms and conditions of the
Agreement shall remain in full force and effect.
3. Term. This Addendum shall run coterminous with the Agreement.
4. Invoices and Payments. Invoices must identify the PO number and shall be submitted to the City
of Boynton Beach Finance Department, Attn: Accounts Payable, P.O. Box 310, Boynton Beach, FL 33425.
Invoices shall show the nature of the service and dates(s) of service. Invoices based on hourly rates shall
show the actual hours worked, the person performing services, nature of the service, hourly rate, and
date(s) of service. Contractor shall provide a W-9 with the first invoice. Payments of any fees due to the
Contractor for Services shall be conditioned on receipt of a proper invoice. Payment will be made within
45 days of receipt of a proper invoice in accordance with the Local Government Prompt Payment Act,
Section 218.70, et al., Florida Statutes. No payment made under the Agreement shall be conclusive
evidence of the performance of the Agreement by Contractor, either wholly or in part, and no payment
shall be construed to be an acceptance of or to relieve Contractor of liability for the defective, faulty, or
incomplete rendition of the Services.
5. Tax Exempt. City represents that City is a tax-exempt entity and not subject to the payment of
taxes under the Agreement.Upon request,City will provide the Contractor with proof of tax-exempt status.
If such status changes, and/or if any taxes are required to be withheld on any payment, the City will pay
such additional amounts as are necessary so that the net amount received by the Contractor is equal to
the amount then due and payable under the Agreement.

6. Confidentiality. The Agreement sets forth Confidentiality obligations and defines "Confidential
Information." The parties recognize that the City is a public entity and, therefore, any Confidentiality
provisions are subject to the mandates of Chapter 119, Fla. Stat. Therefore, the terms of the Agreement
and any information provided by the Contractor to the City may fall within the disclosure requirements of
Chapter 119, Fla. Stat. The Contractor must clearly label and mark each page or section of any tangible
documents (excluding internet-based Confidential Information) provided to the City in connection with
the Agreement that it considers proprietary information or otherwise confidential or exempt from
Chapter 119, Fla. Stat. If the City receives a public records request regarding the Contractor's Confidential
Information, it will notify the Contractor in writing or electronically. If the Contractor continues to assert
in good faith that the information is confidential or exempt from disclosure pursuant to Chapter 119, Fla
Stat., then the Contractor shall be solely responsible for defending its position or seeking a judicial
declaration. Nothing in this Agreement shall create an obligation or duty for the City to defend or justify
the Contractor's position. Contractor also agrees to indemnify and hold harmless the City for any award,
damages, fines, fees, penalties or impositions of whatsoever nature or kind and all costs and fees,
including attorney's fees incurred by the City in connection with this section. Any requirements in the
Agreement that require the City to destroy Confidential Information upon termination of the Agreement
are hereby deemed null and void.
7. Public Records. Contractor shall comply with the applicable provisions of Chapter 119, Florida
Statutes. Specifically, Contractor shall:
7.1 Keep and maintain public records required by the City in order to perform the services;
7.2 Upon request from the City's custodian of public records, provide the City with a copy of
requested records or allow the records to be inspected or copied within a reasonable time at a
cost that does not exceed the cost provided in Chapter 119, Florida Statutes or as otherwise
provided by law;
7.3 Ensure that public records that are exempt or confidential and exempt from public records
disclosure requirements are not disclosed except as authorized by law for the duration of the
contract term and following completion of the contract if the Contractor does not transfer the
records to the City; and
7.4 Upon completion of the contract, transfer, at no cost to the City, all public records in
possession of the Contractor or keep and maintain public records required by the City to perform
the service.If the Contractor transfers all public records to the City upon completion of the contract,
the Contractor shall destroy any duplicate public records that are exempt or confidential and
exempt from public records disclosure requirements. If the Contractor keeps and maintains public
records upon completion of the contract, the Contractor shall meet all applicable requirements
for retaining public records. All records stored electronically must be provided to the City, upon
request from the City's custodian of public records in a format that is compatible with the
information technology systems of the City.
7.5 The failure of the Contractor to comply with the provisions set forth in the Agreement shall
constitute a default and breach of the Agreement, for which the City may terminate the
Agreement. Failure to comply with said statutory requirements may subject t h e Contractor to
penalties under section 119.10, Florida Statutes, as amended.

IF THE CONTRACTOR HAS QUESTIONS REGARDING THE APPLICATION OF
CHAPTER 119, FLORIDA STATUTES, TO THE CONTRACTOR'S DUTY TO PROVIDE
PUBLIC RECORDS RELATING TO THIS CONTRACT, CONTACT THE CUSTODIAN OF
PUBLIC RECORDS AT CITY CLERK, PO BOX 310, BOYNTON BEACH, FLORIDA, 33425,
561-742-6061, CITYCLERK@BBFL.US.
8. Sovereign Immunity. Except to the extent sovereign immunity may be deemed waived by
entering into this Agreement, nothing herein is intended to serve as a waiver of sovereign immunity by
City, nor shall anything included herein be construed as consent by City to be sued by third parties in any
matter arising out of this Agreement.
9. Discriminatory Vendor and Scrutinized Companies Lists; Countries of Concern. Contractor
represents that it has not been placed on the "discriminatory vendor list" as provided in Section 287.134,
Florida Statutes, and that it is not a "scrutinized company" pursuant to Sections 215.473 or 215.4725,
Florida Statutes. Contractor represents and certifies that it is not, and for the duration of the Term, will
not be, ineligible to contract with City on any of the grounds stated in Section 287.135, Florida Statutes.
Contractor represents that it is, and for the duration of the Term will remain, in compliance with Section
286.101, Florida Statutes.
10. Verification of Employment Eligibility. Contractor represents that Contractor and each
subcontractor have registered with and use the E-Verify system maintained by the United States
Department of Homeland Security to verify the work authorization status of all newly hired employees in
compliance with the requirements of Section 448.095,Florida Statutes,and that entry into this Agreement
will not violate that statute. If Contractor violates this section, City may immediately terminate this
Agreement for cause, and Contractor shall be liable for all costs incurred by City due to the termination.
11. Public Entity Crimes Act. Contractor represents that it is familiar with the requirements and
prohibitions under the Public Entity Crime Act, Section 287.133, Florida Statutes, and represents that its
entry into this Agreement will not violate that Act. Contractor further represents that there has been no
determination that it committed a "public entity crime" as defined by Section 287.133, Florida Statutes,
and that it has not been formally charged with committing an act defined as a "public entity crime"
regardless of the amount of money involved or whether Contractor has been placed on the convicted
Contractor list.
12. Entities of Foreign Concern. This section shall apply if Contractor or any subcontractor will have
access to an individual's personal identifying information under this Agreement. Accordingly, Contractor
represents and certifies: (i) Contractor is not owned by the government of a foreign country of concern;
(ii)the government of a foreign country of concern does not have a controlling interest in Contractor; and
(iii) Contractor is not organized under the laws of and does not have its principal place of business in, a
foreign country of concern.On or before the Effective Date or the date that Contractor or its subcontractor
will have access to personal identifying information under this Agreement, Contractor and any
subcontractor that will have access to personal identifying information shall submit to City executed
affidavit(s) under penalty of perjury, in a form approved by City attesting that the entity does not meet
any of the criteria in Section 287.138(2), Florida Statutes. Compliance with the requirements of this
section is included in the requirements of a proper invoice. Terms used in this section that are not
otherwise defined in this Agreement shall have the meanings ascribed to such terms in Section 287.138,

Florida Statutes.
13. Anti-Human Trafficking. On or before the Effective Date of the Agreement, Contractor shall
provide City with an affidavit attesting that the Contractor does not use coercion for labor or services, in
accordance with Section 787.06(13), Florida Statutes.
14. Indemnification. Contractor shall indemnify, hold harmless, and defend City and all of City's
current, past, and future officers, agents, and employees (collectively, "Indemnified Party") from and
against any and all causes of action, demands, claims, losses, liabilities, and expenditures of any kind,
including attorneys' fees, court costs, and expenses, including through the conclusion of any appellate
proceedings, raised or asserted by any person or entity not a party to this Agreement, and caused or
alleged to be caused, in whole or in part, by any breach of this Agreement by Contractor, or any
intentional, reckless, or negligent act or omission of Contractor, its officers, employees, or agents, arising
from, relating to, or in connection with this Agreement (collectively, a "Claim"). If any Claim is brought
against an Indemnified Party, Contractor shall, upon written notice from City, defend each Indemnified
Party with counsel satisfactory to City or,at City's option, pay for an attorney selected by the City Attorney
to defend the Indemnified Party. The obligations of this section shall survive the expiration or earlier
termination of this Agreement. If considered necessary by the City Manager and the City Attorney, any
sums due Contractor under this Agreement may be retained by City until all Claims subject to this
indemnification obligation have been settled or otherwise resolved. Any amount withheld shall not be
subject to payment of interest by City.Any provision of the Agreement that requires the City to indemnify
the Contractor or any third party is hereby deleted in its entirety.
15. Limitation of Liability. The City's sole liability under the Agreement shall not exceed the value of
the total annual fee paid by the City to the Contractor or the total fees in the 12 months immediately
preceding the claim.
16. Attorneys' Fees. In the event that either Party brings suit to enforce the Agreement or to collect
payment, each Party shall bear its own attorney's fees and court costs.
17. Equal Opportunity. Contractor and subcontractors shall not discriminate on the basis of race,
color, sex, religion, national origin, disability, age, marital status, political affiliation, sexual orientation,
pregnancy, or gender identity and expression in the performance of this Agreement.
18. Third-Party Beneficiaries. Neither Contractor nor City intends to primarily or directly benefit a
third party by this Agreement. Therefore, the Parties acknowledge that there are no third-party
beneficiaries to this Agreement and that no third party shall be entitled to assert a right or claim against
either of them based upon this Agreement.
19. Compliance with Laws. Contractor and the Services must comply with all applicable laws,
including, without limitation, the Americans with Disabilities Act, 42 U.S.C. § 12101, Section 504 of the
Rehabilitation Act of 1973, and the requirements of any applicable grant agreements.
20. Joint Preparation.The Parties have jointly prepared this Agreement, which shall not be construed
more strictly against either Party.
21. Venue, Waiver of Jury Trial. This Agreement shall be governed by and construed in accordance
with the laws of the State of Florida as now and hereafter in force. The exclusive venue for any lawsuit

arising from, related to, or in connection with this Agreement shall be in the state courts of the Fifteenth
Judicial Circuit in and for Palm Beach County, Florida. If any claim arising from, related to, or in connection
with this Agreement must be litigated in federal court, the exclusive venue for any such lawsuit shall be
in the United States District Court or United States Bankruptcy Court for the Southern District of Florida.
EACH PARTY HEREBY EXPRESSLY WAIVES ANY RIGHTS IT MAY HAVE TO A TRIAL BY JURY OF ANY CIVIL
LITIGATION RELATED TO THIS AGREEMENT.
22. Amendments. Unless expressly authorized herein, no modification, amendment, or alteration of
any portion of this Agreement is effective unless contained in a written document executed with the same
or similar formality as this Agreement and by duly authorized representatives of City and Contractor.
23. Priority of Provisions. In the event of any conflict or ambiguity by and between the terms and
provisions of the Agreement, and this Addendum, the Parties agree the terms and provisions contained
in this Addendum shall control to the extent of any such conflict or ambiguity.
24. Entire Agreement.The Parties agree that the Agreement and this Addendum represent the entire
and integrated agreement between the City and Contractor and supersede all prior negotiations,
representations, or agreements, either written or oral. The Agreement as modified by this Addendum is
intended by the Parties hereto to be the final expression of the Agreement, and it constitutes the full and
entire understanding between the parties with respect to the subject hereof, notwithstanding any
representations,statements,or agreements to the contrary heretofore made.
25. Counterparts and Multiple Originals. This Agreement may be executed in multiple originals and
may be executed in counterparts, whether signed physically or electronically, each of which shall be
deemed to be an original, but all of which, taken together, shall constitute one and the same agreement.
26. Effective Date.The effective date of this Addendum shall be the date of complete execution by the
Parties.
IN WITNESS WHEREOF, the Parties hereto have made and executed this Addendum, effective as of the
date the last party signs this Addendum.
