R26-021 RESOLUTION NO. R26-021 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON 2 BEACH, FLORIDA, APPROVING ANNUAL SERVICE AGREEMENTS AND 3 EXPENDITURE WITH MOTOROLA, INC. FOR THE CONTINUED 4 MAINTENANCE AND REPAIR OF THE CITY'S P25 RADIO 5 TELECOMMUNICATIONS SYSTEMS AS A SOLE-SOURCE VENDOR WITH 6 AN EXPENDITURE NOT TO EXCEED $200,000 ANNUALLY FOR THE 7 NEXT FIVE YEARS; AND FOR ALL OTHER PURPOSES. 8 9 10 WHEREAS, the City maintains a radio telecommunications system that provides the Police 11 Department, Fire Department, and other local government entities with radio communications. 12 The Motorola company manufactured and installed our current system, which consists of 13 computer consoles, portable radios, antennas, and operational readiness. The City has a long- 14 standing relationship with Motorola and is requesting annual maintenance from Motorola to 15 provide monitoring and diagnostic services, along with the repair or replacement of any defects in in the infrastructure, computer equipment, and radios, and any required upgrades. While 17 Motorola has the option to subcontract radio maintenance to an authorized Motorola 18 subcontractor, the communications infrastructure (consoles, repeaters, etc.) is serviced and 19 maintained by Motorola directly. Authorized subcontractors of Motorola will not contract with 20 entities directly, as their work orders are routed through Motorola; and 21 WHEREAS, the annual contract and expenditure amount shall not exceed $200K annually 22 over the next five years. This purchase is being made pursuant to the Sole Source Procurement 23 Exemption outlined in Section X, Alternatives to Formal Sealed Bids, of the procurement policy. 24 This section permits Sole Source Services and Purchases when it is determined that only one viable 25 source is available. Such circumstances may include, but are not limited to, repairs or additions 26 from the original equipment manufacturer, exclusive regional suppliers, franchised or licensed 27 distributors, or proprietary items. The vendor has submitted the required documentation to the 28 City, and the Procurement Division has affirmed that the documentation for this purchase meets 29 the Sole Source Procurement Exemption criteria; and 30 WHEREAS, the City Commission, upon the recommendation of staff, has deemed it in the 31 best interests of the City's citizens and residents to approve annual service agreements and 32 expenditure with Motorola, Inc. for the continued maintenance and repair of the city's P25 radio RESOLUTION NO. R26-021 33 telecommunications systems as a sole-source vendor with an expenditure not to exceed $200,000 34 annually for the next five years. 35 36 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON 37 BEACH, FLORIDA, THAT: 38 SECTION 1. The foregoing "Whereas" clauses are hereby ratified and confirmed as 39 being true and correct and are hereby made a specific part of this Resolution upon adoption. 40 SECTION 2. The City Commission of the City of Boynton Beach, Florida, does hereby 41 approve annual service agreements and expenditure with Motorola, Inc. for the continued 42 maintenance and repair of the city's P25 radio telecommunications systems as a sole-source 43 vendor with an expenditure not to exceed $200,000 annually for the next five years. 44 SECTION 3. The City Commission of the City of Boynton Beach, Florida, hereby 45 authorizes the City Manager to execute the Agreements. The City Manager is further authorized 46 to execute any ancillary documents required under the Agreements or necessary to accomplish 47 the purposes of the Agreements, including any term extensions as provided in the Agreements, 45 provided such documents do not modify the financial terms or material terms. 49 SECTION 4.
