R93-/J A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF BOYNTON BEACH, FLORIDA, ACCEPTING THE PROPOSAL OF GEE & JENSON FOR FINAL DESIGN & CONSTRUCTION OF MEADOWS II AND BOYNTON LAKES PARKS DATED JANUARY 25, 1993; AND FOR AN EFFECTIVE DATE. WHEREAS, upon final review of recently completed Park Master plans regarding funding and development priorities, the City Commission authorized staff to negotiate with Gee & Jenson for final design and construction services for Meadows II Park and Boynton Lakes Park; and WHEREAS, the original Contract with Gee & Jenson, dated July t6~ 199~, allows for these additional services as a Work Assignment 2, and WHEREAS, the City CoPamission of the City of Boynton Beach ~he firm of Gee & Jenson to submit a proposal for services for construction of Meadows II and Parks; and WHEREAS, the City Commission of the City of Boynton Beach hereby accepts the proposal of Gee & Jenson, dated January 25, 1993; and NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF BOYNTON BEACH~ FLORIDA THAT: Section i. The "WHEREAS" clauses above are hereby ratified and confirmed as being true and correct and incorporated herein by reference. Section 2. The City Commission of the City of Boynton Beach, Florida hereby accepts the proposal of Gee & Jenson, dated January 25, 1993, attached hereto as Exhibit "A". Section 3. Frederick, CLP Recreation and Parks Director Re: Proposal, Construction Plans and Related Services for Meadows-Twc~ and Boynton Lakes Parks Gentlemen: We are pleased to submit the following proposal for additional services ONork Assignment 2) as provided in our Agreement with the City of Boynton Beach executed July 16, 1991. These additional services concern the preparation of construction plans, specifications and related services for Meadows-Two Park and Boynton Lakes Park generally in accordance with Master Plans for such parks dated July, 1992. Gee & Jenson Engineers-Architects-Planners, Inc., hereinafter referred to as the Consultant, proposes to furnish professional services for the City of Boynton Beach, hereinafter referred to as the Owner of the scope outlined below for the fees stipulated herein. Scope of Services 1. PROGRAM AND BUDGET CONFIRMATION Consultant will review the completed Master Plans for the two park sites in a meeting with Owner's representatives to determine the construction budget and required development program for the two park sites as well as standard design and construc- tion details requested by the Owner. The Consultant will attend two meetings for such purposes. 2. GEOTECHNICAL ANALYSIS The Consultant will review and analyze a report provided by an independent consul- tant retained by the Owner to conduct geotechnical investigations of the two park sites to determine the suitability of soils for structures and improvements planned for each site. CONSTRUCTION PLANS Based on the results of Scope items 1 and 2 above, the Consultant will prepare construction plans at suitable scales for the two parks (scale of site drawings pro- posed to be 1" = 30') including the following: Dimensioned Site Layout Plans {2) showing dimensioned location of site elements including structures, pavement areas, benches, fenCing, drinking foUntains, lighting and similar features. Pavino. Gradinc~ and Drainaqe Plans (2) showing existing spot elevations and proposed elevation contours at one foot intervals all areas to be paved, paving materials and installation details, slope indicators, swales, inlets, and related information. Water and Wastewater Plans (2) showing location, size and other pertinent data as applicable to enable installation of service lines and connections with off-site facilities. Landscape Plans [2) showing proposed landscaping improvements, plant locations, plant list (indicating plant key, botanical/common names, quantities, spacing, size and type of containmant1 and details depicting plant installation methods. Irriaation Plans (2) showing locations of irrigation pipes, head layout, radius of spray, water supply connections, backflow preventers, valves, controllers, well and pump details and other pertinent information :depicting installation meth- ods. Architectural Plans las necessary) showing park structures included in current Master Plans (restroom, picnic pavilions and gazebos) consisting of plan, elevation and section drawings, as well as structural, electrical and olumbing plans for the restroom building and construction details for all structures. Electrical Plans {2) showing locations of security, ornamental and recreational lighting fixtures, power supply routing and control, fixture/pole~mounting specifications and installation details. Construction plans will be submitted to the Owner for review at the following stages in the planning process: 30% completion, 60% completion and 100% completion. Any changes requested following the Owner's review at the 60% completion stage shall be considered additional services. City of Boynton Beach Attn: Charles C. COST ESTIMATES The Consultant will prepare detailed cost estimates for construction of tt~e two parks at the 30% and 100% completion stages. 5, SPECIFICATIONS/CONTRACT AND BIDDING DOCUMENTR The Consultant will prepare specification booklets incorporating the Owner's standard contract and bidding documents. The specifications shall describe all material types, workmanship and finishes for all elements included in the construction plans for the two parks. Five (5) complete sets of construction documents will be provided for Owner's use. 6. PERMITTING SERVICES The Consultant will submit appropriate information, conduct field reviews and take other customary actions so as to enable Consultant to file permit applications with non-City regulatory agencies having jurisdiction over the two park projects including the following: · Lake Worth Drainage District South Florida Water Management District (alternate for exempt sites-Boynton Beach Engineering Department) · Palm Beach County Health Department The Consultant will provide the Owner with sufficient sets of plans to enable it to comply with internal site plan review and permitting requirements, 7. BIDDING SERVICES The Consultant and the Owner will conduct a pre-bid conference on the two park sites. During the bidding process, the Consultant will provide clarification of construc- tion drawings and specifications and prepare and seal Owner-approved addenda to the bid documents if required. Prospective bidders will purchase sets of bidding documents from the Consultant. Consultant shall charge prospective bidders only the costs associated with reproduction of the documents and there shall ~)e no charge to the Owner. City of Boynton Beach Attn: Charles C. Frederick, CLP January 25, 1993 - Page 4 8. CONSTRUCTION ADMINISTRATION The Consultant shall participate in a pre-construction conference within the time frame required bythe Owner. The Consultant shall make necessary site visit(s) at a mini- mum of once a .week ane not to exceed an average of 6 hours per week for an estimated construction period of twelve (12) weeks. The Consultant will observe the work and provide recommendations to the Owner concerning progress of the work and its substantial conformance with contract documents. The Consultant shall make recommendations on the contractor's interim and final pay estimates and final quantities or work. Upon receipt of a written statement from the contractor that work is fully complete according to the construction contract documents, the Consultant shall conduct with the Client a~ completion inspection and prepare a "punch list" of items requiring correction or completion. Upon receipt of a written notification from the contractor that all punch list items have been corrected, the Consultant shall assist the Owner in conducting a final inspection to verify co[rections after which, a final certificate of completion shall be issued by Consultant. The Consultant shall receive and review for completeness as-built information from the contractor and submit to Owner a complete set of mylar reproducible record drawings on all construction and as-built information. Additional Services Additional services beyond those listed in the preceding section, will be provided by the Consultant upon written authorization by the Owner and acceptance by the Consultant. Payment for such services will De based on Consultant's hourly rates as set forth in Exhibit "B" and reimDursement for direct nonsalary expenses including, but not limited to, data processing, long distance telephone, printing and reproduction, plus Florida sales taxes, if applicable. Time of Performance Items I through 6 of the Scope of Services will be completed within ninety (90) calendar days after receipt of Notice to Proceed except for delays beyond the reasonable control of the Cbnsultant. Said representation is not, however, a warranty or guarantee that said services will be completed within such time frame. The ninety (90) day time period shall include completion of the Owner's project review and permitting process; and submittal of required City of Boynton Beach Attn: Charles C. Frederick, CLP January 25, 1993 - Page 5 permit applications to non-City agencies. Items 7 and 8 of the Scope of Services will be completed in accordance with the schedule established by the Owner. Fees to be Paid For Items 1 through 8 of the Scope of Services, including reimbursable expenses, the Consultant shall be paid a lump sum fee not to exceed Forty-Seven Thousand Eight Hundred Ninety Five ($47,895.00). Of this total fee amount, labor costs shall be a lump sum fee of $46,445.00 and reimbursable expenses shall not exceed $1,450.00. A breakdown of the fee is provided in Exhibit A (attached). If there are items that must be sublet, confirmed, certified or updated, the Consultant shall, as agent of the Owner, order the work with the Owner's approval, and the subcontractor shall bill the Owner directly. The Owner mus[ make payments in accordance with the terms on the invoice in order not to stop the work. If the Consultant is directed by the Owner to handle the subcontract for the Owner, there will be a fifteen (15) percent charge for handling. In the event the Consultant is involved in providing services to assist the Owner in applying for and processing applications or permits, the fee for such service will not be related t~) final approval or denial. All application or permit fees to agencies, associated with documents submitted by the Consultant on behalf of the Owner, shall be 3aid to the agency by the Owner. Construction Administration Serv~ce.~ On any project for which construction drawings and specifications were prepared by the Consultant and a certification of construction is required by a regulatory agency, the Owner shall employ the Consultant to perform construction administration services. Unless the Consultant is engaged for construction administration services, it will not be in a position to certify the work to those regulating agencies having jurisdiction and requiring certification. Project representation may require one or more full or part-time project representatives, depending upon the requirements of the project. The project representative will endeavor to provide protection for the Owner against observed defects and deficiencies in the work of the Contractor. However, the furnishing of resident project services does not guarantee the work of the Contractor, nor assume liability on the part of the Consultant for job safety or the Contractor's means, methods, techniques, sequences and/or Procedures. Shop Drawing & Samplinq Review When retained by the Owner to provide shop drawing and sample review services, as part of the construction administration phase of a project, the Consultant's responsibilities are limited to review for conformance with general design concept and construction details as provided City of Boynton Beach Attn: Charles C. Frederick, CLP January 25, 1993 - Page 6 in the contract documents only. Specifically excluded from our services are reviews of dimensions, quantities, sizes, and completeness of drawings. Estimates Since the Consultant has no control over the cost of labor and materials or over competitive bidding and market conditions, the estimates of construction cost provided for herein are for general information only and are made in accordance with the applicable standard of Care. Accordingly, the Consultant does not guarantee the accuracy of such estimates when compared to the Contractors' bids or the project construction cost. Code and Requlatory Complianc~, The Consultant prepares documents in accordance with known codes and resolutions and relies on his experience to evaluate their applicability to designs, products, studies and decisions that are part of the services to the Owner. Local interpretations of codes and regulations may vary and, therefore, require input from authorities having jurisdiction over the project. During meetings and permit processing phases specific interpretations are made by these authorities that are effectively official decisions of the agency. Such changes can impact the cost and/or schedule of the proiect and cannot be controlled by the Consultant. These conflicts include but are not limited to the following: Application of new codes and/or regulatory criteria not published, enacted or applied at the time the agreement between the Consultant and the Owner was entered into. Changes in agency staff, conflict or changes in official interpretations of existing codes and regulations, or in the inclusion of a particular code or regulation as to their applicability to the project, made after the agreement was entered into. Such occurrences can be imposed during and after design, and in extreme cases during or after construction. Conflicting interoretations of agency inspectors or representatives during or after construction. For the above reasons and others, the Owner or the contractor shall not depend upon the design contract documents to proceed in any way with an activity that will incur costs or liability prior to receipt of permits or agency approvals. Additionally, the Owner agrees that changes made by these authorities after receipt of permits or approvals are beyond the Consultant's control. City of Boynton Beach Attn: Charles C. FrEderick, CLP January 25, 1993 - Page 7 Subject to the direction of the Owner, the Consultant will respond accordingly. Any profes- sional services provided by the Consultant associated with meetings, design or contract document modifications, preparation of change orders, new permits or any other task associated with the resolution of matt,e, rs brought about by the occurrence of the above are not considered part Of the Consultant s basic services an~ will be compensated for as additional services. Insurance Provisions The Consultant shall secure and maintain in force throughout the duration of this project professional liability insurance with a minimum limit of $1,000,000; comprehensive general liability insurance with a minimum of $500,000 per occurrence and $1,000,000 aggregate for personal injury; and $500,000 per occurrence/aggregate for property damage, and business auto coverage with minimum limits of $~,000,000 per occurrence combined single limit for bodily injury Liability and Property Damage Liability. This shall include owned vehicles, hired and non-owned vehicles and employee non-ownership. Certificates of coverage as required shall be delivered to the City within fifteen (15) days of execution of a contract. City of Boynton Beach Attn: Charles C. FrEderick, CLP January 25, 1993 - Page 8 Acceptance Acceptance of this proposal may be indicated by the signature of a duly authorized official of the Owner in the space provided below. One signed copy of this proposal returned to the Consultant will serve as an Agreement between the two parties and as Notice to Proceed. This contract will be binding on the parties hereto and the parties' successors and assigns. Should this proposal not be accepted within a period of thirty (30) days from the above date, it shall become null and void.
